INTRODUCTION

Kentucky Employers’ Mutual Insurance (“KEMI”) is committed to protecting your privacy while you use websites and software programs operated by KEMI (collectively “KEMI Access Portals”). Read this Privacy Policy in its entirety so that you will understand all of the practices and procedures that relate to your online privacy. This Privacy Policy outlines the information that KEMI may collect and how we will use that information. 

By your use of KEMI Access Portals, you signify your assent to this Privacy Policy. If you do not assent to this Privacy Policy, you are not permitted to use any KEMI Access Portal. By your use of KEMI Access Portals following posted changes to this Privacy Policy, you signify your assent to those changes.

WHAT WE COLLECT

We aggregate both anonymous and personal data. What we collect depends on what you do when you use our KEMI Access Portals and on what personal information you elect to give us. This Privacy Policy governs use of the information that you provide to us. It does not govern the manner in which we may use information we have obtained from any other source, such as information obtained from a public record or from another person or entity.

Anonymous data

We collect anonymous data when you use KEMI Access Portals, including your internet address, the time of your visit and the information that you access and view. We use this anonymous data to monitor and improve the performance of the KEMI Access Portals. When using a KEMI Access Portal on a mobile phone, personal media player, tablet computer or other mobile device (collectively “Mobile Device”), KEMI may collect information such as a device identifier of the Mobile Device and global positioning system (“GPS”) data if GPS functionality is available and enabled on the Mobile Device.

Personal information

If you wish, you can provide us with personal information about yourself by using the contact forms and email addresses provided by the KEMI Access Portals. We only collect this information directly from you and only when you elect to provide it. Personal information about you is used for business and marketing purposes. If you accept the opportunity to be contacted by us, either by personal email, telephone, mail or email newsletter, you can revoke that acceptance at any time by contacting us at the contact points specified below.

Depending upon which of our services you are utilizing, the types of non-public personal information that we may collect include:

  • Name, business name, postal or mailing address, email address, and telephone number;
  • Information we receive from you on applications, forms and in other communications to us, whether in writing, in person, by telephone or by any other means;
  • Information about your transactions with us, our affiliated companies, or others;
  • Information from your transactions with us, such as payment history; underwriting, audit, and claim documents; and
  • Information we receive from your computing device when you visit a KEMI Access Portal that is unique to e-commerce transactions. It may include the website you visited before ours, your Internet e-mail address and operating system and statistical information on Web traffic and usage patterns.

All information entered into KEMI’s online e-business applications database is stored in a secure location on KEMI’s internal network and KEMI takes reasonable precautions to prevent access by anyone not authorized. If you provide your bank account information, KEMI stores your bank account information.

Cookie Disclosure

We reserve the right to use cookies in connection with your use of KEMI’s website. KEMI’s website may write one or more cookies to your computer while you are browsing KEMI’s website. The cookie(s) that KEMI’s website may use will not store any personally identifiable information. In certain cases, some information about your IP address, web browser, and computer system are automatically transmitted to KEMI’s web servers as an integral part of the operation of the Internet. Thus, KEMI may automatically collect and track:

  • The home server domain names, type of computing device, and type of web browsers for visitors to our website;
  • The pages of the website visitors access; and
  • Information on what websites the visitor has accessed.

We reserve the right to disclose personal data in special cases when we believe that disclosing information is necessary to identify, contact or bring legal action against someone who may be causing injury to or interference with KEMI Access Portals, other users of our KEMI Access Portals, anyone else who could be harmed by such activities, or where we are required to do so by court order or applicable law. We reserve the right to disclose personal data when we believe, in good faith, the law requires it.

WHAT WE SHARE

We DO NOT sell, lease or otherwise share any aggregate non-personably identifiable data or personal information about our visitors with or to any third-party companies or individuals. We do not provide customer information to persons or organizations outside KEMI that are doing business on KEMI’s behalf for their own marketing purposes.

Any information we gather through our online forms or information that you otherwise provide to us for purposes of conducting purpose or marketing will be used only for business or marketing purposes.  Such information will never be shared with unaffiliated third parties without your consent, except we may disclose your personal information if required to do so by law or in the good-faith belief that such action is necessary to: (a) conform to the edicts of the law or comply with legal process served on KEMI or its websites; (b) protect and defend the rights or property of KEMI; or (c) act to protect the personal safety of the employees of KEMI and other users of the website.

Use of Personal Data

Personal information provided by users may be used for marketing and informational purposes only by KEMI and affiliates. Except as otherwise noted, we may utilize third party providers for marketing and informational purposes on our behalf. KEMI does not rent, sell or otherwise distribute to third parties, your personal information entered using KEMI Access Portals. While we use all reasonable efforts to safeguard the confidentiality of your information, KEMI will have no liability for disclosure of any information obtained due to errors in transmission or the unauthorized acts of third parties.

CONTROL YOUR PERSONAL INFORMATION

We strive to provide users with access to their own personally identifying information that we maintain about them where possible. To view and change the personal information that we have about you, you can log in to your account and follow the instructions on that webpage or contact us directly by sending an email to communications@kemi.com.

In addition, if you do not wish for us to share your personal information with any third parties working on our behalf to serve our customers, please let us know by sending your request to communications@kemi.com. Please note that exercising these opt-out rights may limit your ability to receive the full range of our products and services.

We reserve the right to ask for information verifying your identity prior to disclosing any information to you.  Should we ask for verification, the information you provide to verify your identify will be used only for that purpose, and all copies of this information in our possession will be destroyed when the process is complete.

Promotional Communication

If you do not wish to receive promotional emails from us, please let us know by using the opt-out response device that can be found at the bottom of every email we deliver or by emailing us at communications@kemi.com. To help us process your request, please include sufficient information for us to identify you in our records (your email address will suffice).  Please allow a reasonable time for us to process your request. Please note that, although you can opt not to receive promotional messages, we reserve the right to send you informational email messages about any administrative notices regarding the KEMI Access Portals, as permitted under the CAN-SPAM Act (15 U.S.C. §7701 et seq.). 

CONFIDENTIALITY AND SECURITY

KEMI will use its best efforts to ensure that no unauthorized parties have access to any of your nonpublic personally identifiable information. We restrict access to nonpublic personal information about you to those individuals and entities who need to know that information in order to provide products or services to you. We will use our best efforts to train and oversee employees and those acting on behalf of KEMI to ensure that your information will be handled responsibly and in accordance with this Privacy Policy. We currently maintain physical, electronic and procedural safeguards to guard your nonpublic personal information.

Communications with KEMI Access Portals containing confidential information require that a “secure session” be established. Such communication between KEMI and its authorized users is encoded using Secure Sockets Layer (SSL) technology utilizing a minimum of 128-bit encryption.

CHILDREN’S PRIVACY

We believe that protecting the privacy of children is very important. KEMI Access Portals are not designed to attract individuals under the age of 18. In accordance with the Children’s Online Privacy Protection Act (COPPA), we do not collect or store any personal information, even in aggregate, about children under the age of 13. If we discover we have received any information from a child under the age of 13 in violation of this policy, we will delete that information immediately. If you believe that KEMI has any information from or about anyone under the age of 13, please contact us at the contact points specified below.

CALIFORNIA PRIVACY RIGHTS

California’s “Shine the Light” law permits users of the Site that are California residents to request certain information regarding our disclosure of PII to third parties for their direct marketing purposes. To make such a request, please contact us at the Contact Information provided below.

Data Retention

We will retain personal information while users maintain an account with us or to the extent necessary to provide the services through the KEMI Access Portals. Thereafter, we will keep personal information for as long as necessary: (i) to respond to any queries from users; (ii) to demonstrate we treated users fairly; (iii) for ordinary business continuity procedures; or (iv) to comply with any applicable laws. We delete personal information within a reasonable period after we no longer need the information for the purposes set out in this privacy policy.

LINKED SITES

KEMI Access Portals may contain links to various other websites. KEMI assumes no responsibility for the content or practices of websites linked through our access portals, and such linking should not suggest or imply any affiliation or endorsement by KEMI of the linked website. KEMI is not responsible for the privacy practices of such other websites. This privacy statement applies solely to information collected by KEMI Access Portals.

DO NOT TRACK DISCLOSURES

Some web browsers may transmit “do-not-track” signals to websites with which the browser communicates. Our Site does not honor these “do-not-track” signals.

SPAM

We do not participate in bulk email solicitations that you have not consented to receive (i.e., “Spam”). We do not sell or disclose user lists or email address lists to unrelated third parties. Except as otherwise provided herein, we do not share PII with any third-party advertisers.

BUSINESS TRANSITIONS

In the event KEMI goes through a business transition, such as a merger, being acquired by another company, or selling a portion of its assets, users’ personal information will, in most instances, be part of the assets transferred. Users will be notified via prominent notice on our website for 30 days prior to a change of ownership or control of their personal information. If, as a result of the business transition, the users’ personally identifiable information will be used in a manner different from that stated at the time of collection, they will be given a choice consistent with our “Revisions to this Policy” section.

INTERNATIONAL TRANSFERS; U.S. USE AND PURPOSE

Your information, including personal information, may be transferred to and maintained on computers located outside of your state, province, country, or other governmental jurisdiction where the data protection laws may differ than those from your jurisdiction.

If you are located outside the United States and choose to provide information to us, please note we transfer your information, including personal information, to the United States and process it there. Your submission of information to us represents your consent to that transfer. Please note the EU has not adopted an adequacy decision with respect to data transfers to the United States, nor are we a participant in the EU-US Privacy Shield; however, we value your privacy and protect your data using reasonable information security practices.

REVISIONS TO THIS POLICY

KEMI reserves the right to periodically revise this policy. Please check www.kemi.com periodically for changes. The document revision date displayed below will indicate when this policy was last revised.

We will use information in accordance with the privacy policy under which the information was collected. If, however, we are going to use users’ personally identifiable information in a manner different from that stated at the time of collection, we will notify users via email. Users will have a choice as to whether or not we use their information in this different manner. However, if users have opted out of all communication with the site, or deleted/deactivated their account, then they will not be contacted, nor will their personal information be used in this new manner. In addition, if we make any material changes in our privacy practices that do not affect user information already stored in our database, we will post a prominent notice on our website notifying users of the change. In some cases where we provide a notice we will also email users, who have opted to receive communications from us, notifying them of the changes in our privacy practices.

TERMS AND CONDITIONS OF USE AGREEMENT

PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING OR ACCESSING ANY KENTUCKY EMPLOYERS’ MUTUAL INSURANCE (“KEMI”) WEBSITE OR KEMI SOFTWARE PROGRAM (COLLECTIVELY “KEMI ACCESS PORTALS”). BY INSTALLING, USING OR ACCESSING KEMI ACCESS PORTALS, YOU ARE INDICATING YOUR ACKNOWLEDGMENT AND ACCEPTANCE OF THESE TERMS AND CONDITIONS OF USE.  IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT USE KEMI ACCESS PORTALS.

KEMI Access Portals are owned and operated by KEMI. Questions concerning KEMI Access Portals or their operation should be directed to legalnotices@kemi.com. INFORMATION

The information provided by KEMI Access Portals is for general informational purposes only. Your insurance policy, and not the information provided by KEMI Access Portals, is the contract between you and KEMI. The insurance policy may contain information, terms, exclusions, endorsements, conditions, and limitations that may not be displayed by KEMI Access Portals. If there is a discrepancy between your insurance policy and information displayed by KEMI Access Portals, your policy controls. The information displayed by KEMI Access Portals does not change or alter your insurance policy with KEMI. Only the actual insurance policy can provide correct terms, language, coverage amounts, conditions, endorsements, and exclusions.

THIRD PARTY SITES

KEMI Access Portals may provide you with links to other websites, programs, or applications on the Internet (collectively “Linked Sites”). The Linked Sites are not under KEMI’s control, and KEMI is not responsible for the contents of any Linked Sites, including without limitation the accuracy, copyright compliance, legality or decency of the Linked Sites or any links contained therein. These links are provided for your convenience, and do not imply endorsement of the Linked Sites by KEMI or any association with the operators of the Linked Sites.

PROPRIETARY RIGHTS

You acknowledge and agree that the materials contained in KEMI Access Portals are protected by copyright, trademark and other proprietary rights and laws. You may download and print or save to your storage device or computing device materials obtained via KEMI Access Portals for your personal use only, provided that all copies you make of this material must include any copyright, trademark or other proprietary notice located on KEMI Access Portals which pertains to the copied material. Except for the use expressly authorized, you agree not to sell, transfer, license, modify, copy, reproduce, distribute, transmit, display, perform, publish, or create derivative works from such materials. You agree not to systematically retrieve data or other content from KEMI Access Portals for the purpose of creating a collection, compilation, database, or directory without KEMI’s written permission. All rights not expressly granted herein are reserved. Downloading of any information, content or images from KEMI Access Portals does not transfer any right or ownership of such information, content or images to you, and such information, content or images may be used solely in accordance with these Terms and Conditions of Use. You may not mirror or archive any part of any KEMI Access Portal or any material provide by any KEMI Access Portal on any server or computer without KEMI’s written permission.

PRODUCTS, SERVICES AND SOFTWARE

Downloading downloadable products from KEMI Access Portals does not give you title to such downloadable products, including, but not limited to, any files, documents, forms, software, data and images. Your use of any software shall be only in accordance with the license agreement that is included with the software or presented upon download of such software. The downloadable products available from KEMI Access Portals are copyrighted by KEMI or its owner. Downloadable products may not be copied, redistributed or placed on any server for further distribution. You may not sell, modify, decompile, disassemble, or otherwise reverse engineer the downloadable products.

A description to a product, service or publication by any KEMI Access Portal (including any description or reference via hyperlink) does not imply endorsement by KEMI of that product, service or publication.

NO UNLAWFUL OR PROHIBITED USE

You agree not to use KEMI Access Portals for any purpose that is unlawful or prohibited by the Terms and Conditions of Use. You may not use any KEMI Access Portal in any manner that could damage, disable, overburden, or impair any KEMI Access Portal or interfere with any other party’s use of any KEMI Access Portal or services. You may not seek by any means to obtain any materials or information through KEMI Access Portals not intentionally made available to you by the KEMI Access Portals. You shall not (i) reverse engineer, decompile or disassemble any portion of any KEMI Access Portal or tamper in any way with the operation of any KEMI Access Portal, or (ii) insert or make use of any type of disabling device including, but not limited to, viruses, worms, Trojan horses, time bombs, cancelbots or any similar device that may impair, damage or interfere with the proper operation any KEMI Access Portal.

LEGAL AGE

KEMI Access Portals are not intended for children under the age of 13. By using KEMI Access Portals, you affirm that you are at least 13 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in the Terms and Conditions of Use and agree to comply with the Terms and Conditions of Use. If you are under 13, please do not provide submissions or otherwise use KEMI Access Portals.

SUBMISSIONS

You hereby grant to KEMI the royalty-free, perpetual, irrevocable, worldwide, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display all content, remarks, suggestions, ideas, graphics, reviews or comments, or other information communicated to KEMI through KEMI Access Portals (together, the “Submission”), and to incorporate any Submission in other works in any form, media, or technology now known or later developed. KEMI will not be required to treat any Submission as confidential and may use any Submission in its business (including without limitation, for products or advertising) without incurring any liability for royalties or any other consideration of any kind, and will not incur any liability as a result of any similarities that may appear in future KEMI operations. Without limiting the foregoing, KEMI has the sole discretion to remove any Submission that violates this Agreement or is otherwise objectionable in our sole discretion. Users are responsible for complying with all applicable federal and state laws for their Submission, including copyright and trademark laws.

You warrant that you will not use the KEMI Access Portals to infringe the intellectual property rights of others in any way.

MOBILE DEVICE

By accessing and using the KEMI Access Portals with your mobile phone, personal media player, tablet computer or other mobile device (collectively “Mobile Device”), you acknowledge and agree that you may receive certain communications from KEMI (such as text messages and pictures, e-mails, or other electronic communications means, collectively “Mobile Communications”). By accessing and using the KEMI Access Portals via your Mobile Device, you may incur fees from your mobile data provider or carrier, and you are solely responsible for the payment of such fees. If you choose to disclose information regarding your actual location (including location-related information provided by your mobile data provider or carrier, provider, or other third party applications), you acknowledge and agree that (1) such information may be made available to other viewers of such information and (2) KEMI is not responsible for the correctness of such information and any use of such information by third parties, including other users.

NO REPRESENTATIONS OR WARRANTIES

KEMI makes no representations or warranties that the KEMI Access Portals are free of defects, viruses or other harmful components. KEMI shall not be responsible for any damages or loss that may result from the hacking or infiltration of KEMI Access Portals or KEMI’s computer systems. YOU HAVE THE SOLE RESPONSIBILITY FOR ADEQUATE PROTECTION AND BACKUP OF DATA AND/OR EQUIPMENT USED IN CONNECTION WITH KEMI ACCESS PORTALS AND YOU AGREE TO HOLD KEMI HARMLESS FROM, AND YOU COVENANT NOT TO SUE KEMI FOR, ANY CLAIMS BASED ON THE USE OF KEMI ACCESS PORTALS, INCLUDING CLAIMS FOR LOST DATA, WORK DELAYS OR LOST PROFITS RESULTING FROM USE OF MATERIALS OR CONTENT FROM KEMI ACCESS PORTALS.

The information displayed by KEMI Access Portals may contain technical inaccuracies, outdated information and typographical errors. ACCESS TO KEMI ACCESS PORTALS IS PROVIDED FREE OF CHARGE AS A COURTESY. HOWEVER, ALL MATERIALS, INFORMATION, SOFTWARE PRODUCTS, FORMS, DOCUMENTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH KEMI ACCESS PORTALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KEMI DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. KEMI MAKES NO WARRANTIES OR REPRESENTATIONS CONCERNING THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, OR ACCURACY OF THE INFORMATION, PRODUCTS OR SERVICES CONTAINED IN OR OBTAINED THROUGH KEMI ACCESS PORTALS FOR ANY PURPOSE. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES; THESE EXCLUSIONS MAY NOT APPLY TO YOU.

DISCLAIMER OF LIABILITY

UNDER NO CIRCUMSTANCES SHALL KEMI BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES WHATSOEVER THAT MAY RESULT FROM THE USE OF OR THE INABILITY TO USE KEMI ACCESS PORTALS, INCLUDING WITHOUT LIMITATION, DAMAGES ARISING FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DETERIORATION OR CORRUPTION OF FILES, DELETION OR CORRUPTION OF EMAIL, ERRORS, LOSS OF DATA, LOSS OF PROFITS, DEFECTS, VIRUSES, AND/OR DELAYS. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF KEMI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, KEMI’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR INSURANCE PREMIUMS DURING THE PREVIOUS THIRTY (30) DAYS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES; KEMI’S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

If you are dissatisfied with any portion of any KEMI Access Portal or the associated services, your sole remedy is to cease using them.

INDEMNITY

You agree to defend, indemnify, and hold harmless KEMI and its employees, agents, directors, officers and shareholders, from and against all liabilities, claims, damages, and expenses (including without limitation reasonable attorneys’ fees and costs) arising out of your use of KEMI Access Portals, your breach of this agreement, or your infringement of the intellectual property rights of third parties.

TERMINATION

KEMI reserves the right to terminate your access to KEMI Access Portals or to any or all of its services at any time without notice for any reason whatsoever.

GENERAL

This Agreement shall be given effect to the fullest extent permissible by law. In case any one or more of the provisions contained in this agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provisions hereof, and this agreement shall be construed to give maximum legal effect to the intent expressed herein. This agreement is governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without giving effect to any principles of conflicts of law. You hereby consent to the exclusive jurisdiction and venue of the courts of the Commonwealth of Kentucky or, if appropriate, the United States District Court for the Eastern District of Kentucky for the resolution of all disputes arising out of or relating to the use of KEMI Access Portals and the associated services. KEMI may assign this agreement, in whole or in part, at any time. This agreement coupled with the KEMI Privacy Policy found at http://www.kemi.com/privacy-policy constitutes the entire agreement between KEMI and the user with respect to KEMI Access Portals, and these agreements supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between KEMI and the user with respect to KEMI Access Portals.

KEMI’s performance of this Agreement is subject to existing laws and legal process. Nothing contained in this agreement is in derogation of KEMI’S right to comply with governmental, court and law enforcement requests relating to your use of KEMI Access Portals, or information collected by KEMI in connection with such use.

All rights not expressly granted herein are reserved exclusively and entirely to KEMI.

TRADEMARKS AND COPYRIGHTS

Trademarks, service marks, and logos appearing in KEMI Access Portals are the property of KEMI or the party that provided the trademarks, service marks, and logos to KEMI. KEMI and any party that provided trademarks, service marks, and logos to KEMI retain all rights with respect to any of their respective trademarks, service marks, and logos appearing in KEMI Access Portals.

All content provided by KEMI Access Portals whether provided by KEMI or through links to Linked Sites is the copyrighted work of KEMI and/or the owner(s) of the Linked Sites. Except as stated herein, none of the contents of KEMI Access Portals may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without the prior express written permission of KEMI or the owner(s) of the Linked Sites.

PRIVACY

Despite any representations concerning privacy, KEMI reserves the right to disclose without notice to you any information in its possession if required to do so by law or upon a good-faith belief that such action is necessary to comply with the law, to protect or defend our rights or property, or to respond to an emergency situation. Specific areas or pages of KEMI Access Portals may include additional or different terms relating to the use of personal information collected from such areas or pages.

KEMI SECURED ACCESS

KEMI Access Portals contain secured components of computer systems operated by KEMI that are accessible only to those who have registered and have an email address and password (“Secured Access”). Information contained within the secure components of KEMI Access Portals is confidential and proprietary and/or non-public private information.

These Terms and Conditions of Use provide the terms and conditions under which you will be granted access to secured components of KEMI Access Portals.  These Terms and Conditions of Use govern all use, including Secured Access, of KEMI Access Portals.

Designation of Administrators

A policyholder or agent will have the opportunity to designate an administrator.  By designating an administrator, the designator represents and affirms that the administrator is trustworthy to ensure the security, confidentiality, and integrity of information accessible over KEMI Access Portals. 

An administrator may invite other administrators as well as registered users.  A registered user is anyone who registers and has a unique email address and password. 

Each user is responsible for creating and maintaining his/her email address and password.

Accuracy of Information

All users agree and warrant that all information provided to us through the KEMI Access Portals, including but not limited to any contact information and/or registration information for the account, is truthful and accurate.  All users further agree to maintain the accuracy of the account information and to inform us promptly of any changes to the account information, including but not limited to any changes to an email address.

Unauthorized Use of Registration

If you believe that someone has used your registration information to access any KEMI Access Portal without proper authorization, you must immediately notify KEMI at 1-800-640-5364.

Email Address and Password

For security reasons, each registered user accessing KEMI Access Portals will have a unique email address and password.

Security Obligations

All administrators are responsible for keeping the account current.  All users are responsible to ensure that a user password is changed or inactivated if the security of his/her email address and/or password has been compromised. This is especially important when users leave employment either voluntarily or involuntarily. Each user agrees not to share or disclose any passwords. 

The administrator(s) is responsible for inactivating and/or removing an administrator(s) when necessary to maintain the accuracy and security of the account.  An administrator shall immediately remove and/or replace an administrator promptly upon learning: (1) that the administrator has given notice or been informed of his or her impending separation from service in your employment, (2) that the administrator has disclosed or granted access to an email address and password to someone who is not authorized for such disclosure or access; or (3) of any reason why an administrator may not be trusted to ensure the confidentiality and integrity of information accessible through KEMI Online Services or KEMI Access Portals.

The agent or policyholder acknowledges that it is liable for the acts of its administrators and registered users with respect to the security and access to the secure contents of KEMI Access Portals. Furthermore, the agent or policyholder understands and agrees that it is responsible for taking such steps as are necessary and proper to instruct its officers, directors, and employees regarding the terms of these Terms and Conditions of Use and Privacy Policy of KEMI Access Portals.

Term of Access

Each registered user’s access will remain in effect until either KEMI inactivates the user’s access or an administrator inactivates the registered user’s access. If KEMI inactivates the agent or policyholder’s access, then authorizations for all administrators and registered users for that organization will immediately expire.

Responsibility/Indemnification

Notwithstanding any other agreements between you and KEMI, you agree to assume any and all responsibility for the conduct of anyone using a registered email address and password whether or not such conduct was authorized by you. You further agree to indemnify KEMI and hold it harmless from any claims, suits, or losses (including reasonable attorney fees) arising from:

  • any unauthorized access to the secured components of KEMI Access Portals by you, any of your past or current registered users, administrators, other employees or third parties employed by your organization;
  • the use or disclosure of any private or confidential KEMI data, database, software, or information accessible over KEMI Access Portals by you, any of your past or current registered users, administrators, employees, or third parties employed by you;
  • any misconduct, errors or omissions by you, any of your past or current registered users, administrators, other employees, or third parties employed by you;
  • the misuse, failure to keep confidential or the disclosure of any password by you, any of your past or current registered users, administrators, employees, or third parties employed by you;
  • the failure to keep trade secrets, information subject to state or federal privacy laws (including common law), or other confidential data, database, software, or other information accessible over KEMI Access Portals, by you, any of your past or current registered users, administrators, employees, or third parties employed by you; or
  • your failure (including the failure of your past or current registered users, administrators, employees, or third parties employed by you) to abide by any of these Terms and Conditions of Use.

Ownership, Access and Use

KEMI reserves the right to grant or deny access to secured components of KEMI Access Portals at its sole discretion. KEMI may elect to prevent or terminate access for any potential or current KEMI Access Portal user at any time. Access to the secured components of KEMI Servers is a privilege and not a right.

A password may be used only by the registered user to whom it is assigned and only for legitimate and lawful business purposes consistent with these Terms and Conditions of Use. All users of  KEMI Access Portals agree to abide by these Terms and Conditions of Use and to conduct themselves in the use of KEMI Access Portals in a manner which: (a) comports with the highest standards for ethical business conduct; (b) complies with all applicable law; and (c) is not detrimental to KEMI. Only current employees who have read and agreed to be bound by these Terms and Conditions of Use may be administrators or registered users. You agree not to make the content of secured components of KEMI Servers available to third parties, including (without limitation) insurance industry competitors of KEMI.

Confidentiality

KEMI information accessible over KEMI Access Portals is being made available hereunder for use only by and between you and KEMI, and only in furtherance of KEMI’s business purposes, and is not to be used by or disclosed to third parties. Some information available by KEMI Access Portals may be confidential and nonpublic private information. You acknowledge that you are receiving such information and agree to treat such information as private and confidential and to handle such information in compliance with all applicable laws or regulations, now existing or hereinafter enacted. You agree to indemnify KEMI and hold it harmless from any and all claims, suits, or losses (including reasonable attorney fees) arising out of your use or mis-use of such confidential and non-public private information in a manner that is prohibited by all applicable laws and regulations, now existing or hereinafter enacted.

Termination of Secured Access

The agent or policyholder’s administrator, president, CEO, or designee may terminate this Terms and Conditions of Use Agreement with respect to Secured Access at any time by providing notice of its election to do so in writing. At that point all email addresses and passwords will be inactivated.
